Terms of Service

1. Acceptance of Terms

By creating an account on any Vasty Tenure platform (landlord portal, tenant app, or API), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the platform.

These terms constitute a legally binding agreement between you and Vasty Rentals Ltd, a company incorporated in Kenya.

We may update these terms from time to time. Continued use after the effective date of a change constitutes acceptance. We will notify you of material changes by email at least 14 days in advance.

2. Definitions

• "Platform" means the Vasty Tenure landlord portal, tenant app, and any associated APIs.
• "Landlord" means a registered user with the LANDLORD or PROPERTY_MANAGER role.
• "Tenant" means a registered user with the TENANT role.
• "Lease" means a tenancy agreement created and managed through the Platform.
• "Trust Score" means the Vasty Trust Score metric described in Section 7.
• "KYC" means Know Your Customer identity verification.
• "We / Us / Vasty" means Vasty Rentals Ltd.

3. Platform Description

Vasty Tenure is a property management and tenant verification platform. It provides:

• Tools for landlords to list properties, manage units, create leases, and track rent payments.
• Tools for tenants to pay rent, build a verified rental history, and obtain rental certificates.
• A Trust Score system derived from verified payment behaviour.
• Identity verification via our partner Didit Protocol.
• Payment processing via Paystack.
• SMS notifications via Africa's Talking.

Vasty is a technology platform, not a party to any tenancy agreement. All lease terms are agreed between the Landlord and Tenant. Vasty does not act as a letting agent, estate agent, or guarantor.

4. Landlord Obligations

As a Landlord, you agree to:

• Provide accurate and truthful property information including ownership documents.
• Only list properties for which you have lawful authority to let.
• Comply with all applicable Kenyan landlord-tenant legislation, including the Landlord and Tenant Act and the Rent Restriction Act.
• Process all rent payments through the Platform and not request off-platform payments from tenants.
• Not discriminate against tenants on the basis of race, gender, religion, disability, or any other protected characteristic.
• Respond to tenant maintenance requests and communication in a reasonable time.
• Undergo and maintain up-to-date KYC verification as required by the Platform.
• Not share your account credentials with any third party.

5. Tenant Obligations

As a Tenant, you agree to:

• Provide accurate personal and identity information during registration and KYC.
• Pay rent on or before the due date specified in your lease.
• Process all rent payments through the Platform.
• Not engage in subletting without the written consent of your Landlord.
• Maintain the rented property in good condition and report damage promptly.
• Not misrepresent your rental history, income, or identity during any tenancy application.
• Not share your account credentials with any third party.

6. Payments & Fees

Rent payments are processed via Paystack. A 1% platform fee is added to each tenant rent payment at checkout and disclosed before confirmation. Landlords are charged a tiered transaction fee (3–5% based on portfolio size) deducted from their payout. Paystack's standard processing fees are passed through at cost.

Rental certificates require a one-time fee payable via Paystack before the certificate is generated. The fee amount is displayed at the time of purchase. Fees are non-refundable once the certificate has been issued.

Vasty is not responsible for delays in payment settlement caused by Paystack, M-Pesa, or your bank. In the event of a failed or disputed payment, contact support@vasty.ke.

7. Vasty Trust Score

The Trust Score is an informational metric derived solely from activity on the Vasty Platform. It is not a credit score, does not affect your credit file, and is not shared with any credit bureau or financial institution.

Landlords may use the Trust Score as one of several factors in a tenancy decision. Vasty does not guarantee that a high Trust Score will result in a successful tenancy application.

Tenants may request the withdrawal of their Trust Score from landlord-facing views at any time by contacting us. This does not delete the underlying payment data (retained for legal compliance).

8. Intellectual Property

All content, software, trademarks, and designs on the Platform are owned by or licensed to Vasty Rentals Ltd. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

You retain ownership of content you upload (property photos, documents). By uploading content, you grant Vasty a non-exclusive, royalty-free licence to store, display, and process it solely for the purposes of operating the Platform.

9. Prohibited Conduct

You must not:

• Use the Platform for any unlawful purpose.
• Post false, misleading, or fraudulent property listings.
• Impersonate any person or entity.
• Attempt to circumvent payment processing to avoid Platform fees.
• Harass, threaten, or abuse other users.
• Attempt to gain unauthorised access to other accounts or the Platform's infrastructure.
• Scrape, harvest, or systematically extract data from the Platform.
• Upload malware, viruses, or any code intended to damage the Platform.
• Use the Platform to facilitate money laundering or any other financial crime.

Violation of these rules may result in immediate account suspension and, where applicable, referral to law enforcement.

10. Limitation of Liability

To the fullest extent permitted by Kenyan law, Vasty Rentals Ltd shall not be liable for:

• Any dispute between a Landlord and a Tenant arising from a tenancy agreement.
• Loss or damage resulting from inaccurate information provided by a user.
• Interruptions to the Platform caused by third-party services (Paystack, M-Pesa, Africa's Talking, Didit).
• Loss of profits, revenue, or data arising from Platform downtime.
• Any indirect, incidental, or consequential damages.

Our total liability to you for any claim arising from use of the Platform shall not exceed the total fees paid by you to Vasty in the 12 months preceding the claim.

11. Termination

You may close your account at any time by contacting support@vasty.ke. Upon closure, your data is handled per our Privacy Policy.

We may suspend or terminate your account immediately and without notice if you:

• Breach these Terms.
• Provide false identity or KYC information.
• Engage in fraud or financial crime.
• Receive a fraud risk score above our internal threshold.

On termination, active leases will be flagged and counterparties notified. Outstanding financial obligations do not lapse on termination.

12. Governing Law

These Terms are governed by the laws of Kenya. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
